Corporate Governance

Through its corporate governance system, United Bankers Plc seeks to ensure the compliance and transparency of its operations. United Bankers’ corporate governance system is described in the Corporate Governance and Disclosure Policy, approved by United Bankers’ Board of Directors.

 

In addition to the parent company United Bankers Plc, United Bankers’ consolidation group includes three subsidiaries. UB Asset Management Ltd is an investment service company supervised by the Financial Supervisory Authority. UB Fund Management Company Ltd is responsible for the management and valuation of funds, and also holds a license for managing alternative investment funds. UB Corporate Finance Ltd provides advisory services for companies. Additionally, the Group includes UB Nordic Forest Management Ltd, which offers solutions for forest investments.

 

The company has a strategy approved by the Board of Directors, pursuant to which the company’s business operations are developed, as well as operating principles approved by the Board of Directors for, for example, the company’s risk management, compliance and internal control. In addition to these, the company has numerous other internal guidelines required by law.

 

In order to ensure that the management’s reliability and competence requirements are met, members of the Board of Directors and members of the Management Team are always assessed for reliability and competence before appointment, as specified in the Financial Supervisory Authority’s regulations and guidelines.

 

The company’s corporate governance principles and corporate governance system are outlined on this website, including information pursuant to Chapter 7, Section 7 of the Act on Credit Institutions (610/2014) on how United Bankers complies with the provisions of Chapter 7, Sections 1–5 and Chapter 8 of the said Act.

 

Corporate Governance Principles

United Bankers Plc’s decision-making and corporate governance is conducted in compliance with the Finnish Limited Liability Companies Act and other laws and regulations governing the operations of listed companies in Finland, as well as the company’s Articles of Association, Codes of Procedure of the Board of Directors and of the committees, company policies and guidelines, along with the rules and regulations issued by the European Securities and Markets Authority, Finnish Financial Supervisory Authority and Nasdaq Helsinki.


United Bankers complies with the recommendations of the Finnish Corporate Governance Code for listed companies, published by the Securities Market Association, which came into effect on 1 January 2025. The Corporate Governance Code is available from the website of the Securities Market Association at www.cgfinland.fi.

 

Furthermore, as the owning entity of investment services companies and a fund management company, United Bankers Plc is obligated to comply with the national and European financial industry regulation in force in Finland. Therefore, the corporate governance and decision-making of the United Bankers Group is also carried out in compliance with the provisions of the Act on Investment Services, Act on Credit Institutions, as applicable, Act on Common Funds and the Act on Alternative Investment Fund Managers, as well as the guidelines issued by the European Banking Authority (EBA). The United Bankers Group also abides by the trading guidelines pertaining to those member entities of the Finance Finland that provide investment services.

United Bankers publishes yearly the Corporate Governance Statement according to the Corporate Governance Code 2020 for listed companies.

The statement was published for the first time in 2020, when the company moved to the Helsinki stock exchange list from the First North marketplace.
